Lavipharm’s board of directors is convening an Extraordinary Shareholder General Assembly on August 30, with the object of increasing the share capital by 58 million euros as well as to make amendments to articles of association.
In particular, the company’s announcement states:
“In accordance with the law and the Company’s statutes, the Board of Directors, following its decision taken during its meeting on August 8, 2022, Monday at 10:00 a.m., calls the Company’s Shareholders to an Extraordinary General Meeting on August 30 2022, Tuesday at 2:00 pm, at the Company’s headquarters, in the Municipality of Paiania Attica, Agia Marina street no. 12. In the event of failure to reach the quorum required, according to the Law and the Articles of Association, for the discussion and decision making on any item on the agenda on the date of August 30, 2022, the General Assembly will reconvene in a Repetitive Extraordinary General Assembly on September 12, 2022, Monday at 2:00 pm, at the same place to decide on the following matters. It is noted that for the Repetitive General Meeting no new invitation will be published in accordance with par. 2 of article 130 of Law 4548/2018.

Item 1: Increase of the Company’s share capital up to €58,000,000.00, with the payment of cash, pre-emptive rights in favor of its existing shareholders and the issuance of up to 193,333,333 new common, intangible, registered voting shares, nominal value €0.30 each – Authorization to the Company’s Board of Directors to determine the sale price of the new shares, the specification of the other conditions and the structure of the increase, its implementation and completion
Item 2: Amendment of article 5 of the Company’s Articles of Association”.
